TaxDigit — your accountant and tax adviser in the United Kingdom for Irish businesses and for Irish people moving to or from the UK.
In short: an Irish company can sell into Great Britain through its Irish entity, a registered UK establishment or a UK subsidiary; which one is right depends on whether a UK place of business exists, whether UK VAT applies from the first invoice (a business with no UK establishment has no registration threshold), whether the Construction Industry Scheme catches the work, and whether a permanent establishment arises under the 1976 UK–Ireland Double Taxation Convention, where a building site or installation project becomes one after more than six months. TaxDigit forms UK companies as a Companies House Authorised Corporate Service Provider (ACSP AP019483), carries out the identity verification of Irish directors in-house, and acts as your appointed agent with HMRC and Companies House. For Irish people moving to the UK, and for anyone leaving the UK for Ireland, we deal with the UK side only; Irish filings are done by your adviser in Ireland.

Frequently asked questions
Do we need a UK company to sell into Great Britain from Ireland?
Not always. An Irish company can trade with Great Britain through its Irish entity, but four UK questions still have to be answered: whether it has a UK establishment to register with Companies House (form OS IN01, within one month of opening for business), whether it must register for UK VAT, whether the Construction Industry Scheme applies to the work, and whether a permanent establishment arises under the UK–Ireland convention. A UK subsidiary becomes the better route once the UK activity is continuous or UK customers expect a UK entity.
I live in Ireland. Can you set up a UK company for me?
Yes. We handle the incorporation, the Companies House identity verification (we are an Authorised Corporate Service Provider, ACSP AP019483) and the statutory registers, all remotely. There is no UK-residence requirement for directors or shareholders and you do not need to travel to the UK. Identity verification has been mandatory for every new director and person with significant control since 18 November 2025.
When does a UK building site or installation project become a permanent establishment?
Under Article 5 of the 1976 UK–Ireland Double Taxation Convention, as amended, a building site or construction or installation project is a permanent establishment if it lasts for more than six months. That is a shorter threshold than many of the UK’s other treaties. Once a permanent establishment exists, the profits attributable to it are taxable in the UK and a UK corporation tax registration is needed. Shorter projects can still create UK VAT, CIS and payroll obligations.
Do we have to register for UK VAT for a single contract?
Possibly from the first invoice. A business with no UK establishment is a non-established taxable person and HMRC applies no registration threshold to it: the UK £90,000 threshold is for UK-established businesses only. If your customer is UK VAT registered, the reverse charge may mean they account for the VAT instead, so the answer depends on who your customer is and on whether goods or services are supplied. Goods moving into Northern Ireland follow their own rules. We check all of this before your first invoice.
Does the Construction Industry Scheme (CIS) apply to an Irish contractor?
Yes. CIS depends on where the construction work is carried out, not where the contractor is based. A payment to an unregistered subcontractor suffers a 30% deduction, a registered subcontractor 20%, and a subcontractor with gross payment status 0%. Non-resident companies register with HMRC through the dedicated non-resident CIS registration, and we prepare the gross payment application where the tests are met.
Our staff will work in Great Britain for a few months. What about their tax and social security?
Two separate questions. For income tax, Article 15 of the convention keeps an Irish employee’s pay taxable only in Ireland if they are present in the UK for no more than 183 days in the fiscal year concerned, their employer is not UK resident, and the cost is not borne by a UK permanent establishment; note that the 1976 convention counts days per fiscal year, not per rolling twelve months. For social security, the UK–Ireland social security convention lets a worker posted temporarily to the UK stay in the Irish scheme for a limited period with a certificate from the Irish authorities; we confirm the position for each posting and check whether a UK PAYE scheme is needed.
Is there a double taxation convention between Ireland and the UK?
Yes. The UK–Ireland Double Taxation Convention was signed on 2 June 1976 and entered into force on 23 December 1976. It has been amended by protocols, most recently the 1998 protocol which took effect in the UK from 1 April 1999 for corporation tax and 6 April 1999 for income tax, and it is now read together with the Multilateral Instrument, whose synthesised text has had effect in the UK from 1 January 2020 for withholding taxes, 1 April 2020 for corporation tax and 6 April 2020 for income tax and capital gains tax. It governs business profits, permanent establishments, employment income, dividends, interest and royalties between the two countries.
What corporation tax will a UK subsidiary of an Irish company pay?
The UK main rate is 25% on profits above £250,000 and the small profits rate is 19% on profits of £50,000 or less, with marginal relief in between; the 2026 Budget confirmed both rates for the year beginning 1 April 2028. The thresholds are divided between associated companies, so an Irish parent with several companies will usually see lower thresholds for its UK subsidiary.
Is UK tax withheld on dividends paid to an Irish parent company?
No. The UK does not impose withholding tax on dividends under its own law, so the treaty ceilings in Article 11 (5% where the beneficial owner is a company controlling at least 10% of the voting power, otherwise 15%) are not needed for dividends paid out of the UK. Interest and royalties paid from the UK can be subject to UK withholding, and the convention and the MLI govern the rate; we handle the treaty clearance.
I am moving from Ireland to the UK. What changes for my tax?
Irish citizens can live and work in the UK under the Common Travel Area, so for most people the question is tax, not immigration. Your UK tax residence is decided by the Statutory Residence Test, the year of arrival can be split into a non-resident and a resident part, and from 6 April 2025 new arrivals who were non-UK resident for the previous ten tax years can use the four-year foreign income and gains regime. Irish income you keep, such as rent, pensions or dividends, is dealt with under the convention. We prepare the UK side; your Irish adviser deals with Revenue.
Do you act as our appointed agent before the UK authorities?
Yes. We are appointed as your agent with HMRC and Companies House, receive the correspondence, file the returns and keep the statutory calendar, so your team in Ireland is never chasing a UK deadline. Ireland and the UK share a time zone, so same-day responses are the norm.
Is my data secure and confidential?
We hold ourselves to the strictest standards of confidentiality and data protection, in line with UK GDPR, with bank-level security on every system we use.

The 1976 UK–Ireland Double Taxation Convention, in force since 23 December 1976, amended by the 1994 and 1998 protocols and read with the Multilateral Instrument, governs how business profits, permanent establishments, employment income, dividends, interest and royalties are taxed when an Irish business works in the United Kingdom. For an Irish construction, engineering, installation or services company the practical questions are whether a UK project creates a permanent establishment (a building site or installation project does so once it lasts for more than six months under Article 5), whether UK VAT applies from the first invoice, whether the Construction Industry Scheme catches the work, and when staff working in Great Britain fall into UK income tax or National Insurance.
For other Irish clients the UK question is a growth question: opening a UK limited company to sell into Britain, to serve UK customers locally, or to hold a UK contract. A UK company can be formed in days with no UK-residence requirement for directors or shareholders, and since 18 November 2025 every new director verifies their identity with Companies House, which we carry out in-house as an Authorised Corporate Service Provider. What matters is doing it properly: the right structure, the VAT position assessed from day one, and the statutory calendar handled by a regulated UK firm.
The traffic also runs the other way. Irish people who have lived and worked in the UK and are returning home, and UK residents relocating to Ireland, need the UK side closed down correctly: a company struck off or sold with the Business Asset Disposal Relief timing in mind (the lifetime limit falls to £500,000 for disposals on or after 6 April 2027), the final Self Assessment and form P85, split-year treatment, and the Non-Resident Landlord Scheme for any UK property kept. We act as the appointed agent for overseas owners, deal with HMRC and Companies House on their behalf and keep every deadline, while you stay in Dublin, Cork, Galway or Limerick. Irish registration and filing are done by a local adviser in Ireland.

Ireland to the UK — frequently asked questions
Can an Irish company carry out a project in Great Britain without a UK company?
Yes. Many Irish construction, engineering and services firms deliver UK contracts through their Irish entity. The UK obligations still have to be checked one by one: Companies House registration of a UK establishment if there is a UK place of business, UK VAT as a non-established taxable person, the Construction Industry Scheme if the work is construction, and payroll for staff who exceed the treaty limits. A UK subsidiary becomes the better route once the work is continuous or a project is likely to last more than six months.
What is the six-month rule for Irish building and installation projects in the UK?
Article 5 of the UK–Ireland convention treats a building site or construction or installation project as a permanent establishment if it lasts for more than six months. Once a permanent establishment exists, the UK can tax the profits attributable to it and the company must register for UK corporation tax. We track the project calendar from day one so the threshold never arrives unnoticed.
Do Irish contractors need to register for UK VAT?
An Irish business with no UK establishment has no UK VAT registration threshold: HMRC requires notification regardless of the value of the taxable supply. Where the customer is a UK VAT-registered business the reverse charge can shift the VAT to the customer, and for construction work a second, domestic reverse charge can apply. Which rule applies depends on the customer and the type of work, so we map it before the first invoice is raised.
How does CIS work for an Irish subcontractor?
CIS applies to construction operations carried out in the UK whoever carries them out. Until the subcontractor registers with HMRC, the UK contractor must deduct 30% from the labour element of each payment; after registration the deduction is 20%; with gross payment status it is 0%. HMRC has a dedicated registration route for non-resident companies, and deductions suffered can be set against UK liabilities or reclaimed. Registering before the first payment is the single biggest cash-flow saving on a UK project.
What are the UK tax rules for Irish employees working in Great Britain?
For income tax, Article 15 of the convention keeps an Irish employee taxable only in Ireland if they are present in the UK for no more than 183 days in the fiscal year concerned, the employer is not UK resident and the pay is not borne by a UK permanent establishment. For social security, a temporary posting can remain in the Irish scheme under the UK–Ireland social security convention with a certificate from the Irish authorities, for the period the convention allows. Where the limits are breached, or a UK entity benefits from the work, a UK PAYE obligation can arise and we set up and run the scheme.
I am leaving the UK for Ireland. What happens to my UK company and tax?
Your UK company does not close itself. The usual sequence is final accounts and a Company Tax Return, deregistration for VAT and PAYE, then either strike-off (form DS01) or a members’ voluntary liquidation through a licensed insolvency practitioner, with the Business Asset Disposal Relief timing checked against the £500,000 lifetime limit that applies to disposals on or after 6 April 2027. Personally, you file a final Self Assessment or form P85, claim split-year treatment where it applies, and register under the Non-Resident Landlord Scheme for any UK property you keep. Our leaving the UK guide sets out every step.
What does a UK accountant cost for an Irish company?
It depends on the shape of the work: a single project with VAT and CIS compliance is priced differently from a UK subsidiary with payroll and year-end accounts. Tell us what you are planning in the UK and we will send a written proposal with a fixed scope.
