Our services for Brazilian businesses
Integrated accounting and tax services for Brazilian businesses and founders expanding into the United Kingdom, and for people moving between Brazil and the UK.
TaxDigit — your accountant and tax adviser in the United Kingdom for Brazilian businesses and for Brazilians moving to or from the UK.
In short: a Brazilian company or founder can own and run a UK limited company entirely from Brazil. There is no UK-residence requirement for directors or shareholders; every director and person with significant control verifies their identity with Companies House, which TaxDigit does in-house as an Authorised Corporate Service Provider (ACSP AP019483). The point to understand first is that the UK and Brazil have no comprehensive double taxation convention in force: the 2022 UK–Brazil convention was signed on 29 November 2022 but, as GOV.UK records, has not yet entered into force, so today relief from double taxation on the UK side comes from the UK’s unilateral credit rules, and the UK’s own permanent establishment definition applies with no treaty time threshold. TaxDigit handles the UK side as your appointed agent with HMRC and Companies House; Brazilian filings are done by your contador in Brazil.

Frequently asked questions
What language will communication be in?
English. Our team works in English, which is the language of HMRC and Companies House. You are welcome to write to us in Portuguese, and we can provide a translated Portuguese version of key letters and reports on request.
I live in Brazil. Can you set up a UK company for me?
Yes. We handle the incorporation, the Companies House identity verification (we are an Authorised Corporate Service Provider, ACSP AP019483) and the statutory registers, all remotely. There is no UK-residence requirement for directors or shareholders and you do not need to travel to the UK. Identity verification has been mandatory for every new director and person with significant control since 18 November 2025, and overseas directors verify through an ACSP from any country.
Is there a double taxation treaty between Brazil and the UK?
Not a comprehensive one in force. GOV.UK lists the 2022 UK–Brazil Double Taxation Convention, signed in Brazil on 29 November 2022, as not yet in force (page read 2 November 2026). The agreements that are in force are limited: the 2010 aircrew agreement (in force 21 February 2017) and the 2005 shipping and air transport agreement (in force 18 March 2009). Until the 2022 convention takes effect, the UK relieves double taxation on the UK side through its unilateral credit rules, which allow Brazilian tax paid on the same income to be credited against the UK tax on it, up to the UK tax due.
When does a Brazilian company become taxable in the UK?
With no treaty in force, the UK’s domestic rule applies: a non-resident company is within UK corporation tax if it trades in the UK through a UK permanent establishment, which under UK law includes a fixed place of business such as an office, branch, workshop, or a building site or construction or installation project, and a dependent agent who habitually concludes contracts in the UK. There is no treaty time threshold, so a UK project can create a permanent establishment from the outset. A UK subsidiary is often the cleaner route because the profits attributable to a permanent establishment have to be computed and reported separately.
Do we have to register for UK VAT?
Possibly from the first taxable sale. A business with no UK establishment is a non-established taxable person and HMRC applies no registration threshold to it: the UK £90,000 threshold is for UK-established businesses only. A UK subsidiary, by contrast, registers once its taxable turnover passes the threshold or voluntarily before. Sales of goods into the UK, digital services to UK consumers and services to UK businesses each follow different rules, so we map the position before the first invoice.
Our staff will work in the UK for a few months. What about their tax and National Insurance?
Because there is no UK–Brazil income tax treaty in force, there is no 183-day exemption for employment income: a Brazilian employee is taxable in the UK on pay for duties performed in the UK from the first working day, and the Brazilian employer may need a UK PAYE scheme. National Insurance has its own rules; a temporary exemption from UK Class 1 contributions can apply to a worker sent to the UK by an employer with no place of business in the UK, and we check the conditions for each posting.
What corporation tax will a UK subsidiary of a Brazilian company pay?
The UK main rate is 25% on profits above £250,000 and the small profits rate is 19% on profits of £50,000 or less, with marginal relief in between; the 2026 Budget confirmed both rates for the year beginning 1 April 2028. The thresholds are divided between associated companies, so a Brazilian parent with several companies will usually see lower thresholds for its UK subsidiary.
Is UK tax withheld on dividends paid to a Brazilian parent or shareholder?
No. The UK does not impose withholding tax on dividends under its own law, whether or not a treaty is in force. Interest and royalties paid from the UK to Brazil are different: without a treaty the UK domestic withholding rate applies in full and there is no treaty reduction to claim, which is one reason the financing of a UK subsidiary from Brazil needs planning before the first payment.
I am moving from Brazil to the UK. What changes for my tax?
Your UK tax residence is decided by the Statutory Residence Test, the year of arrival can be split into a non-resident and a resident part, and from 6 April 2025 new arrivals who were non-UK resident for the previous ten tax years can use the four-year foreign income and gains regime, under which qualifying foreign income and gains are not taxed in the UK for up to four years. Brazilian income you keep after that is taxed in the UK with unilateral credit for Brazilian tax. Immigration advice is given by the immigration law firm in our partner network, never by TaxDigit. We prepare the UK side; your contador deals with the Brazilian side.
Do you act as our appointed agent before the UK authorities?
Yes. We are appointed as your agent with HMRC and Companies House, receive the correspondence, file the returns and keep the statutory calendar, so your team in Brazil is never chasing a UK deadline. Brasília is three to four hours behind the UK depending on the season, so we schedule calls in the overlap.
Is my data secure and confidential?
We hold ourselves to the strictest standards of confidentiality and data protection, in line with UK GDPR, with bank-level security on every system we use.

Book a free consultationBrazilian businesses in the UK — company formation, permanent establishments and double taxation relief without a treaty
The United Kingdom and Brazil signed a comprehensive Double Taxation Convention on 29 November 2022, but GOV.UK records that it has not yet entered into force. Until it does, a Brazilian business working in the United Kingdom is taxed under UK domestic law alone: a non-resident company is within corporation tax when it trades through a UK permanent establishment (a fixed place of business, including a building site or installation project, or a dependent agent), with no treaty time threshold; employees are taxable in the UK on UK workdays from the first day; and interest and royalties paid from the UK to Brazil carry the full UK withholding rate. Relief from double taxation comes from the UK’s unilateral credit rules rather than from a treaty.
For most Brazilian clients the UK question is a growth or a mobility question: opening a UK limited company to sell into Britain and Europe, to hold UK contracts or investments, or to give a founder a UK base. A UK company can be formed in days with no UK-residence requirement for directors or shareholders, and since 18 November 2025 every new director verifies their identity with Companies House, which we carry out in-house as an Authorised Corporate Service Provider. What matters is doing it properly: the right structure for a group with no treaty protection, the VAT position assessed from day one, and the statutory calendar handled by a regulated UK firm.
The traffic also runs the other way. Brazilians who have lived and worked in the UK and are returning home, and UK residents relocating to Brazil, need the UK side closed down correctly: a company struck off or sold with the Business Asset Disposal Relief timing in mind (the lifetime limit falls to £500,000 for disposals on or after 6 April 2027), the final Self Assessment and form P85, split-year treatment, and the Non-Resident Landlord Scheme for any UK property kept. We act as the appointed agent for overseas owners, deal with HMRC and Companies House on their behalf and keep every deadline, while you stay in São Paulo, Rio de Janeiro, Belo Horizonte or Curitiba. Brazilian registration and filing are done by a local adviser in Brazil.

Brazil to the UK — frequently asked questions
Can a Brazilian company trade in the UK without a UK company?
Yes, but with less protection than a company from a treaty country. Without a UK–Brazil treaty in force, the UK’s domestic permanent establishment definition applies from the outset, so an office, a workshop, a building site or an agent who habitually concludes contracts in the UK brings the attributable profits into UK corporation tax. The UK obligations still have to be checked one by one: Companies House registration of a UK establishment if there is a UK place of business, UK VAT as a non-established taxable person, and payroll for staff working in the UK. A UK subsidiary is usually the cleaner route.
How is double taxation relieved between Brazil and the UK today?
On the UK side by unilateral relief: UK law allows foreign tax paid on income or gains that are also taxed in the UK to be credited against the UK tax on the same income, limited to the UK tax due. There is no treaty reduction of UK withholding tax on interest or royalties and no treaty tie-breaker for dual residence, so residence and source have to be managed under domestic rules. When the 2022 convention enters into force the position will change, and we will update this page on the GOV.UK date.
Do Brazilian sellers need to register for UK VAT?
A Brazilian business with no UK establishment has no UK VAT registration threshold: HMRC requires notification regardless of the value of the taxable supply. Sales of goods to UK consumers, digital services to UK consumers and business-to-business services each follow their own rules, and an online marketplace may collect the VAT on some consumer sales. Which rule applies depends on the customer and the type of supply, so we map it before the first invoice is raised.
What are the UK tax rules for Brazilian employees working in the UK?
With no income tax treaty in force there is no 183-day exemption, so pay for duties performed in the UK is taxable in the UK from the first working day and the employer may need to operate PAYE. For National Insurance, a worker sent to the UK by an employer with no UK place of business can be exempt from Class 1 contributions for an initial period; we confirm the conditions for each posting and set up the scheme where one is needed.
I am leaving the UK for Brazil. What happens to my UK company and tax?
Your UK company does not close itself. The usual sequence is final accounts and a Company Tax Return, deregistration for VAT and PAYE, then either strike-off (form DS01) or a members’ voluntary liquidation through a licensed insolvency practitioner, with the Business Asset Disposal Relief timing checked against the £500,000 lifetime limit that applies to disposals on or after 6 April 2027. Personally, you file a final Self Assessment or form P85, claim split-year treatment where it applies, and register under the Non-Resident Landlord Scheme for any UK property you keep. Our leaving the UK guide sets out every step.
What does a UK accountant cost for a Brazilian company?
It depends on the shape of the work: a UK holding company with a handful of transactions is priced differently from a trading subsidiary with VAT, payroll and year-end accounts. Tell us what you are planning in the UK and we will send a written proposal with a fixed scope. Our team works in English; you are welcome to write in Portuguese.
